These Terms of Service ("Terms") govern your access to and use of Talents ("Talents", "we", "us"), a decentralized freelance marketplace built on The Open Network (TON) and integrated with Telegram. By accessing the platform, creating an account, connecting a wallet, or otherwise using any part of the service, you agree to these Terms in full.

If you do not agree with any part of these Terms, do not use Talents. Your continued use of the platform constitutes ongoing acceptance.

Talents is a non-custodial, largely on-chain venue that connects clients and freelancers ("talents") and lets them reference escrow smart contracts on TON. We provide software and a marketplace interface — nothing more.

We are not a party to any agreement, contract, or transaction between users. We are not an employer, employment agency, broker, bank, payment processor, custodian, or escrow agent. We do not supervise, direct, or control the work performed, and we do not guarantee the quality, legality, safety, or outcome of any project, payment, or interaction.

You are solely and fully responsible for how you use Talents and for everything that results from that use. To the maximum extent permitted by law, all responsibility, risk, and liability rests with you, the user.

All content on Talents — profiles, job posts, messages, portfolios, files, reviews, and deliverables — is created by users. We do not pre-screen or verify user content, and we are not responsible for its accuracy, legality, or quality.

We do, however, review complaints about content. If you believe content violates these Terms or the law, you can report it, and we may review the report and, at our sole discretion, remove content or restrict accounts. We are not obligated to act on every report, and reviewing content does not make us liable for it or for any loss arising from your reliance on it.

Talents is non-custodial. We never hold, access, or control your wallet, private keys, or seed phrase, and we can never recover them for you. Wallets are created and controlled entirely on your own device.

You are entirely responsible for safeguarding your keys and wallet. We are not responsible for any loss of access, theft, phishing, malware, forgotten passwords, lost seed phrases, or funds sent to the wrong address. If your keys are lost or compromised, your assets are lost and we cannot help — because we have no access to them.

All payments occur on-chain between users and smart contracts. We do not hold funds, process payments, or act as an intermediary for money. We assume no responsibility whatsoever for any funds, tokens, fees, exchange rates, or transactions.

Talents relies on external systems we do not own or control, including The Open Network (TON), smart contracts, wallet providers, and Telegram. We are not responsible for their availability, security, bugs, forks, downtime, changes, or failures.

You acknowledge the inherent risks of blockchain technology and digital assets — including smart-contract vulnerabilities, network congestion, protocol changes, and total loss of value — and you accept those risks entirely on your own.

If a dispute arises between users — over payment, scope, quality, deadlines, or conduct — we may act as a mediator to help the parties reach a resolution. You agree to cooperate in good faith and to provide the relevant information we request when we review a dispute.

Our mediation is a good-faith service, not binding legal arbitration or a court judgment. Any decision or recommendation we make is at our sole discretion, and we are not liable for the outcome of a dispute or for any resolution reached between users.

You agree not to use Talents to:

Talents is provided strictly "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, uptime, accuracy, and uninterrupted or error-free operation.

We do not warrant that the platform will meet your needs, that any counterparty is trustworthy, or that any project will succeed.

To the maximum extent permitted by law, Talents and its team, contributors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, funds, assets, goodwill, or opportunity, arising out of or related to your use of — or inability to use — the platform.

In no event shall our total aggregate liability to you for any and all claims exceed the greater of the fees you paid to us in the three months preceding the claim, or USD 0. You accept that you use Talents entirely at your own risk.

You agree to defend, indemnify, and hold harmless Talents and its team, contributors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to your use of the platform, your content, your transactions, your interactions with other users, or your violation of these Terms or of any law or third-party right.

You must be of legal age and legally able to enter into contracts in your jurisdiction, and not barred from using the service under any applicable law or sanctions regime. You are responsible for all activity that occurs under your account.

We may suspend, restrict, or terminate your access to the platform at any time, with or without notice, for any reason, including suspected violation of these Terms. Termination does not affect any on-chain records or transactions, which remain on the public ledger and outside our control.

We may update these Terms as the product evolves. When we make material changes, we will update the date above and, where appropriate, notify you through the platform or Telegram. Your continued use after changes take effect constitutes acceptance of the revised Terms.
